Terms and conditions

Article 01 – Definitions

In the following general conditions of sale (hereinafter, only “General Conditions”), terms not otherwise defined will have the meaning attributed to them below.

“Sodini Bijoux Srl” (hereinafter only “Sodini” or “Seller”): sells the Products and provides the Services purchased by Customers; the company has its registered office in Lammari di Capannori (Lucca), in via dei Bocchi n. 108, fully paid-up share capital of Euro 100,000.00 (one hundred thousand/00), registered in the Companies Register of Lucca, registration number n. lu 113161, Tax Code and VAT number n. 01010690467;

“Site” : the site with the account www.sodinibijoux.it / www.sodini.com

“Customer” : anyone who navigates the site, whether or not they have completed the registration procedure;

“Consumer Customer” : anyone who acts for purposes other than any entrepreneurial, commercial, artisanal or professional activity carried out, as defined in Article 3, letter a), of the Consumer Code.

“Professional Customer” : anyone acting in the exercise of their entrepreneurial, commercial, artisanal or professional activity, or their intermediary, as defined in Article 3, letter c), of the Consumer Code;

“Registered Customer” : those who have successfully completed the registration procedure on the Site have indicated their email and password to access the section reserved for Registered Customers; the Registered Customer has the right to navigate within the Site and to use all the Services available from time to time on the Site;

“Consumer Code” : Legislative Decree 6 September 2005, n. 206 and subsequent amendments.

“Content” : all information, videos, images, sounds, music, photographs, software, newsletters (containing news aimed at using the Site and to be considered, for this reason, an integral part of it), animations, databases, design and contents, trademarks, logo, technical solutions adopted, graphic creations, look & feel, structure and any other part already created or to be created published on the Site, whether registered or not, covered by copyright or not, or any other material (in any form) or service made available through the Site or in any other way by Sodini, including information sheets relating to Products or Services, images or descriptions regarding Products or Services;

“Contract” : includes the General Conditions (and the documents referred to therein), any other conditions published on the Site, the additional rules, directives, codes of conduct and/or instructions present in the individual Product sheets or, in any case, published on the Site as well as any registration form or Purchase Order issued by the Customer and accepted by Sodini;

“Business Day” : every calendar day except Saturday, Sunday and public holidays;

“Shop Sodini Bijoux” : the online sales shop, published on the Site, briefly called “Shop” and managed by Sodini;

“Purchase Order” : the order for the purchase of one or more Products and/or Services indicated on the Site as “available” or as “last items in stock” and issued by the Customer in accordance with the purchasing procedure referred to in Article 5;

“Product” : any product offered for sale on the Site;

“Service” : any service available on the Site, including additional services provided by Sodini at the Customer’s request and connected to the sale of Products, such as transport;

Article 02 – Object

These general conditions of sale (or Conditions of Sale) apply to the purchase of Sodini branded products.

02.01. The Agreement contains the terms and conditions governing:

  • 2.1.1. the sale of Products and the provision of Services purchased through the Site;
  • 2.1.2. the Customer's navigation on the Site and the use of all the resources made available to the Customer himself.

02.02. Any purchase of Products and Services made by the Consumer Customer is governed not only by the Contract, but also by the provisions of the Consumer Code and Legislative Decree no. 70/2003, where applicable.

02.03. Each purchase is governed by the general conditions of sale in the version published on the Site at the time the order is transmitted by the Consumer.

The Site is dedicated to retail sales and as such is intended for the exclusive use of Consumers. Persons who are not Consumers are invited not to place purchase orders. If one or more sales are made to a person who does not qualify as a Consumer, these Conditions will apply but, in derogation of what is provided for in the same:

1 - the buyer will not be granted the right of withdrawal referred to in Article 10;
2 - the buyer will not be able to benefit from the guarantee on the Products indicated in article 8;
3 - the buyer will not be granted any other protections, provided herein in favour of the Consumer, which reflect or are in conformity with
mandatory provisions of law;
4 - the sales contract concluded between the Seller and the buyer will be governed by Italian law and by the Contract.

Article 03 – Registration on the site and acceptance of the general conditions

03.01. The Customer who intends to act as a Registered Customer must complete the registration procedure on the Site by providing the information and personal data requested and indicating an email address as login and a “password”, as requested in the specific section of the Site. Registration is confirmed by an email sent by Sodini to the email address provided by the Registered Customer.

03.02. The Registered Customer must carefully read the General Conditions and, in general, the terms and conditions of the Contract that can be viewed and printed during registration also by accessing pop-ups or hypertext links; the Customer must accept these terms and conditions by clicking in the appropriate box marked with the words "I accept the terms and conditions of use".

03.03 . Sodini is authorised to send this Contract, including the General Conditions and any special conditions, as well as all communications concerning the execution of this Contract, to the Customer's email address, also using specific links; the Contract and its aforementioned elements can be downloaded and printed by the Customer.

03.04 . Minors under the age of eighteen are prohibited from purchasing products online. Sodini has no liability where false data is entered by the user. In order to make purchases through the Site, the Consumer must be of legal age (18 years) and have the capacity to act, which the Consumer declares to possess.

Article 04 – Product purchase methods. “Available products” and “Orderable products" subject to availability verification

04.01. The Customer may purchase the Products and Services present on the Site and described in the relevant information sheets. In the information sheet the Product is indicated with one of the following wordings:

  • 04.01.01 “available”, when the Product is physically present in the central warehouse of Sodini; the Customer can purchase a Product indicated in the relevant information sheet as “available” by sending the relevant Purchase Order;
  • 04.01.02 “last items in stock”, when the Product is still present in the central Sodini warehouse, but is running out.

04.02. The information sheet indicates the main characteristics of the Products and Services, their total price (including taxes) and the related shipping costs.

04.03. Before submitting the Purchase Order, the Customer must carefully examine the Contract. Without prejudice to the provisions of the previous art. 3 for Registered Customers, sending a Purchase Order implies full knowledge and unconditional acceptance of the Contract and all its elements.

04.04. Purchase Orders are filled out using the electronic form included in the specific section of the Site and must be sent through the Site itself, according to the methods indicated therein.

Article 05 – Sending and accepting the order

05.01. The purchase of “available” Products occurs by sending the Purchase Order through the Site. 05.02. The Purchase Order is binding for Sodini if: 05.01. the purchase procedure is completed correctly when, within 48 (forty-eight) hours of sending, the Site does not highlight error messages in the transmission;

05.02. the Purchase Order is binding for Sodini if ​​it is accepted within 48 (forty-eight) hours of its receipt with a confirmation email containing the Order identification number. Failure to send the confirmation email within the aforementioned deadline is equivalent to cancellation of the Order. If the Product is not available, art. 16 applies.

Article 06 - Conclusion of the contract

06.01. If the Product is available, the Contract is concluded when the Customer receives from Sodini the confirmation referred to in art. 5; the verification of the regularity and punctuality of the payment is subject to this.

06.02. Unless otherwise specifically indicated, the Contract provides for home delivery of the Product.

Article 07 – Update on the execution of the contract

07.01. Sodini reserves the right to provide the Customer with updates on the execution of the Contract. The following phases of execution of the Contract are distinguished:

  • 7.1.1. “Shipped”: when the Product has been shipped to the indicated address; in this case, the Customer receives an email directly from the courier with the indication of the Tracking number or the link to access to check the status of the shipment;
  • 7.1.2. “Partially shipped”: when the Order or Purchase Proposal consists of multiple Products and at least 1 (one) has been shipped.

Article 08 – Characteristics and description of the products; prices; offers

8.01. The technical data sheets of the Products on the Site contain the description of the Product and the indication of its characteristics; they are drawn up by Sodini. The images and photos used to accompany each sheet are merely indicative and may not represent the characteristics of the Product itself, as it may differ in color, dimensions or accessories not present in the images that depict it.

8.02. The prices of the Products include VAT, but do not include any costs for the Services requested by the Customer (Shipping costs).

8.03. The Products and Services described on the Site are offered for sale at the price in force when the Order or Purchase Proposal is received by Sodini; the price in force upon receipt of the Order or Purchase Proposal cannot be subject to changes.

8.04. Without prejudice to the foregoing, Sodini reserves the right to change the price of the Products and Services on the Site at any time, at its sole discretion and without notice. Such changes only apply to orders not yet confirmed on the date of the change. In any case, before sending the purchase order, the Consumer is invited to check the final sale price.

Article 9 – Payment Methods

09.01. The Customer can make the payment by credit card, bank or postal transfer, PayPal and cash on delivery, according to the methods described in articles 10 et seq.

09.02 . Furthermore, the Customer can choose whether or not to request an invoice. Where the Customer decides to request an invoice, it is noted that the system will require the insertion of the Tax Code/VAT number, as required by current legislation. If the Customer is a -Company-, the Tax Code/VAT number must be entered.

Article 10 – Payment by credit card

10.01. In case of payment by credit card, the Customer must enter the credentials of the credit card that he/she intends to use when sending the Order; for this purpose, only the credit cards indicated on the Site can be used. Upon receipt of the Order, the Stripe platform (https://stripe.com/it), or another identified by Sodini, automatically verifies the operability of the card and sends an email indicating the outcome of the transaction; Sodini does not communicate the outcome of the transaction to the Customer. The amount due by the Customer is collected by Sodini when the debit order is issued.

10.02. The Customer must indicate in the Purchase Order a telephone number where he/she can be contacted for any checks necessary for the security of the transaction; in the absence of this, Sodini reserves the right to refuse the Purchase Order.

10.03. Sodini does not have information regarding the Customer's credit card or concerning the financial, patrimonial and personal situation of the latter, since the payment order is transmitted via a protected connection directly to the portal of the bank that carries out the credit in favor of Sodini.

10.04. Sodini is not responsible for any fraudulent or illicit use of credit cards during the purchase and payment procedure for the Products.

10.05. Sodini reserves the right to refuse Orders, or to suspend the execution of Contracts already concluded in the event of anomalies or irregularities in payment. In this case, Sodini may request additional information from the Customer and/or the sending of copies of documents proving ownership of the credit card used for the purchase. If the requested information is not received, Sodini may refuse the Purchase Order and terminate any Contract already concluded, without the Customer being entitled to anything.

Article 11 – Security of payments made by credit card

11.01. In the case of payments made online, the data provided by the Customer are transmitted in a secure manner that prevents others from reading them; the payment platform is certified by Stripe (https://stripe.com/it).

11.02. The application software for managing the Site uses the SSL (Secure Socket Layer) protocol to encrypt data sent over the Internet, VerifiedByVISA and SecureCard. In order to make the connection secure, it is necessary to use a browser capable of transmitting encrypted data to the Sodini server such as Internet Explorer (5.x and later), Netscape Navigator (4.x and later), Mozilla Firefox (1.x and later), Opera, Safari or Chrome. The connection is protected if both the "https" prefix appear in the page address and the "closed" padlock image in the bottom bar of the browser. The credit card data is transmitted to the Stripe server only after the Customer has clicked to confirm; until then, they remain stored exclusively on the Customer's computer and not even Sodini is able to view them.

Article 12 – Payment by bank or postal transfer

12.01. In case of payment by bank or postal transfer, the Customer can arrange for the credit only after receiving the confirmation email from Sodini containing the bank details.

12.02. The reason for the transfer must include the order number communicated to the Customer pursuant to art. 05.02. The transfer must be made within 5 (five) working days of receiving the email referred to in art. 05.02.; if the aforementioned deadline has elapsed in vain, Sodini reserves the right to terminate the Contract without the Customer being owed anything.

12.03. The Product is shipped 5 (five) days after the credit.

Article 13 – Payment via PayPal

13.01. In case of payment via a Paypal account, the Customer must click on the “Paypal” logo and follow the indicated procedure, or connect to the page of his Paypal account. Sodini does not communicate to the Customer the outcome of the transaction. The amount due by the Customer is collected by Sodini when the debit order is issued.

13.02. The Customer must indicate in the Purchase Order a telephone number where he/she can be contacted for any checks necessary for the security of the transaction; in the absence of this, Sodini reserves the right to refuse the Purchase Order.

13.03. Sodini is not responsible for any fraudulent or illicit use of the account during the purchase and payment procedure of the Products.

13.04. Sodini reserves the right to refuse Orders, or to suspend the execution of Contracts already concluded in the event of anomalies or irregularities in payment. In this case, Sodini may request additional information from the Customer and/or the sending of copies of documents proving ownership of the PayPal account. If the requested information is not received, Sodini may refuse the Purchase Order and terminate any Contract already concluded, without the Customer being entitled to anything.

Article 14 – Payment by cash on delivery

14.01. Payment by cash on delivery must be made exclusively in cash upon delivery of the Product to the address indicated by the Customer; in this case, the sale price is increased by €5.00 (five euros) as a flat-rate reimbursement of expenses.

14.02. the payment of the fee must be made to the carrier; upon delivery, the Customer must have the sum corresponding to the price of the Product or Service purchased, increased by €5.00 (five euros).

Article 15 – Delivery of products

15.01. Sodini is able to deliver the Products to the address indicated by the Customer in the Purchase Order, in Italy and abroad.

15.02. Pursuant to art. 61, paragraph 1 of the Consumer Code, Sodini will deliver the Products within thirty days from the conclusion of the Contract, as regulated by art. 05.

15.03. If delivery does not take place within the deadline referred to in art. 15.02, Sodini will refund the Customer the price of the Product, unless the Customer requests that delivery take place anyway; the application of art. 61, paragraphs 3-7 of the Consumer Code remains unaffected.

15.04. In the event of the purchase of multiple Products, Sodini reserves the right to make split shipments, without additional costs for the Customer.

15.05. Upon receipt of the Products, the Customer must verify that: the number of packages corresponds to that indicated on the transport document; the packaging is intact; the Product complies with the Order or Purchase Proposal.

15.06. The Customer cannot contest the conformity of the Product if he has accepted it purely and simply, without reserving the right to check its integrity and conformity to the Order or the Proposal by annotating it on the delivery note.

15.07. The issuing of the invoice is subject to the purchase of the product made by the Customer. Invoices are issued by Sodini at the end of the month in which the delivery of the Product or the execution of the Service took place. The invoice will be sent by Sodini at the end of the month in which the purchase took place.

15.08. Once issued, invoices cannot be changed. For orders for multiple Products, separate invoices may be issued based on the shipments actually made.

15.09. An amount for shipping costs must be added to the price of the Product and Service purchased by the Customer; this is calculated automatically in the Order, taking into account, in addition to the intrinsic value, also the weight and dimensions, without distinctions related to the place of delivery in Italy; the costs of deliveries abroad are a function of distances.

Article 16 - Unavailability of the ordered product

16.01. Within 3 (three) days of receiving the Purchase Order, Sodini must communicate to the Customer the unavailability of the Product indicated as “available”; if the Customer has already paid the price, Sodini must return, within the aforementioned deadline, what was received; the return occurs with the same method used by the Customer to make the payment.

16.02. In the event of the event provided for in art. 16.01, Sodini sends the Customer a coupon that entitles them to a 10% discount on the purchase of any Product for sale on the Site.

Article 17 – Legal guarantee of conformity

17.01. The Professional Customer benefits from the guarantee for defects in the item sold pursuant to art. 1490 et seq. of the Civil Code; the Professional Customer's action to assert the guarantee for defects expires after 1 (one) year from delivery of the purchased Product and the related defects must be reported within the terms of art. 1495 of the Civil Code.

17.02. The Consumer Customer benefits from the Legal Guarantee of conformity provided for by articles 128 et seq. of the Consumer Code (hereinafter, only “Legal Guarantee”). The Legal Guarantee applies to defects of conformity that become apparent within 24 (twenty-four) months of delivery of the Product and are reported by the Consumer Customer within 2 (two) months of discovery of the defects themselves, in accordance with art. 132 of the Consumer Code. The action aimed at asserting defects not fraudulently concealed by the Seller expires in any case within twenty-six months of delivery of the Products to the Consumer.

17.03. A lack of conformity exists when the Product:

  • 03.17.01 it is not suitable for the use for which it is normally intended;
  • 03.17.02 does not conform to the description or does not possess the qualities promised by the Seller;
  • 03.17.03 does not offer the usual qualities and performances of a good of the same type;
  • 03.17.04 it is not suitable for the particular use desired by the Consumer Customer if brought to the attention of the Seller at the time of purchase and accepted by the Seller.

17.04. In the event of a lack of conformity, the Consumer Customer may request, at his/her discretion, the repair of the Product or its replacement, unless the requested remedy is objectively impossible or excessively onerous compared to the other according to the provisions of art. 130 paragraph 4 of the Consumer Code.

17.05. Pursuant to art. 17.04, the remedy is to be considered excessively burdensome if it imposes unreasonable costs on the Seller in comparison with the other, taking into account: the value that the Product would have if there were no lack of conformity; the extent of the lack of conformity; the possibility that the alternative remedy can be experienced without significant inconvenience for the Consumer Customer.

17.06. In order to provide an effective after-sales service, Sodini offers to repair or replace the defective Product within 40 (forty) days of the request for assistance under warranty. Alternatively, the Consumer Customer may request, at his/her discretion, an appropriate reduction in price or termination of the Contract, if one of the following hypotheses occurs: the repair or replacement is impossible or excessively expensive; Sodini has not repaired or replaced the Product within the term of 40 (forty) days; the replacement or repair previously carried out has caused significant inconvenience.

17.07. A minor lack of conformity, for which it has not been possible or it is excessively onerous to pursue the remedies of repair or replacement, does not give the right to terminate the Contract.

17.08. After receiving the complaint of the lack of conformity, Sodini reserves the right to offer the Consumer Customer any other available remedies, with the following effects:

  • 08.17.01 if the Consumer Customer has already requested a specific remedy, Sodini remains obliged to implement it, with the necessary consequences regarding the expiry of the 40 (forty) day term mentioned above, unless the Consumer Customer accepts the proposed alternative remedy;
  • 08.17.02 If the Consumer Customer has not already requested a specific remedy, he must accept the proposal or reject it by choosing another of the remedies provided by law.

17.09. The Consumer Customer has no right to repair, replacement, price reduction or termination of the Contract with respect to any Product or any element identified as defective if, unless otherwise provided and in accordance with applicable law:

  • 09.17.01 the Product has been repaired or altered by persons other than Sodini;
  • 09.17.02 the lack of conformity of the Product has manifested itself after the term of 2 (two) years from the delivery of the Product itself and/or the relative request for repair or replacement has been sent after 2 (two) months from the discovery of the defect;
  • 09.17.03 the defects are due (in whole or in part) to misuse or improper use, storage, maintenance or installation carried out by persons other than Sodini or to failure to comply with the instructions provided by the Seller or other instructions from Sodini;
  • 09.17.04 at the conclusion of the Contract, the Consumer Customer was aware of the defect and could not ignore it with ordinary diligence;
  • 09.17.05 the lack of conformity derives from instructions or materials provided by the Consumer Customer.

17.10. The Legal Guarantee must be asserted directly against Sodini; to this end, the Customer must send an email to the following address shop@sodinibijoux.it or a registered letter to the E-commerce Manager c/o Sodini Bijoux Srl Via dei Bocchi, 108 55013 Lammari (Lu) .

Article 18 – Right of withdrawal of the consumer customer

18.01 . Pursuant to Articles 52 et seq. of the Consumer Code, the Consumer Customer has the right to withdraw from the Contract, without any penalty and without specifying the reason, within 14 (fourteen) days of receipt of the Product, without having to provide any reason. In the case of separate delivery of multiple Products subject to a single order, the aforementioned term runs from the day on which the last Product is delivered.

18.02. The Consumer Customer exercises the right of withdrawal by sending, within the terms set out in paragraph 18.01, the standard form available on the Site in PDF version (and compliant with Annex B of Legislative Decree 21/2014) to be transmitted electronically to the internet address indicated in the confirmation of receipt of the Purchase Order. Alternatively, the Consumer Customer may communicate his withdrawal by sending, within the same term, a registered letter with acknowledgement of receipt or a fax to the number indicated in the confirmation of receipt of the Purchase Order. Without delay, Sodini must acknowledge receipt of the withdrawal at the email address communicated by the Customer.

18.3. In accordance with the provisions of Article 59, letters c) and d) of the Consumer Code, the Consumer Customer cannot exercise the right of withdrawal for Products made to measure or clearly personalized or which risk deterioration or rapid alteration.

18.04. The Products for which the right of withdrawal is exercised must be returned within 14 (fourteen) days from the day on which the Consumer Customer communicated the exercise of the right of withdrawal; such Products must be intact, kept in their original packaging, complete with accessories and any user manuals, without any missing or defects that occurred upon delivery. The Consumer Customer is only liable for the decrease in value resulting from handling other than "normal" and necessary to verify the nature, characteristics and functioning of the Product. The Product must be delivered to the following address: Sodini Bijoux Srl, Lammari di Capannori (Lucca), via dei Bocchi n. 108, cap 55013

18.05. The Consumer Customer who has exercised the right of withdrawal shall only be responsible for the costs of returning the goods, as provided for by Article 57, paragraph 1, of the Consumer Code.

18.06. Within 14 (fourteen) days from when the Consumer Customer has exercised the right of withdrawal, Sodini must return the amount of the consideration by crediting the current account used for payment or the one indicated in the withdrawal communication; in any case, the return of the consideration must occur with the same method used for payment.

18.07. Sodini reserves the right to withhold the payment until it has received the Product subject to the right of withdrawal, or until the Consumer Customer has demonstrated that he has returned the Product.

18.08. The Consumer Customer is not entitled to a refund of the amount paid if he has not exercised the right of withdrawal according to the methods, conditions and terms established by the preceding provisions. In this case, the Consumer Customer may obtain, at his own expense, the same Product possibly already returned to Sodini, in the same condition in which it was returned. Otherwise, Sodini may retain the returned Product, in addition to all the sums already paid by the Consumer Customer for the purchase.

18.09. The right of withdrawal is excluded and, therefore, the preceding provisions do not apply with regard to Contracts concluded with Professional Customers.

Article 19 – Security

19.01. The Registered Customer is responsible for the storage and appropriate use of all data (such as, by way of example and not limited to, username and password) used to connect to the Site and communications exchanged with Sodini; furthermore, the Registered Customer must adopt all precautions to ensure that data and communications are appropriately used and processed in such a way as to maintain their confidentiality.

19.02. The Registered Customer is responsible for the activities carried out through his account and is liable for damages resulting from the improper use of his access data by third parties.

19.03. The Registered Customer must immediately inform Sodini if ​​the username (or e-mail) or password are used or may be used improperly.

19.04. If a Registered Customer forgets or loses his/her username, he/she must contact Sodini and carry out the security checks established by Sodini.

19.05. Sodini reserves the right to suspend usernames (or e-mails) and passwords for access to the Site if it deems their use to be unsafe.

19.06. The Registered Customer is responsible for the truthfulness of the information and personal data provided at the time of registration; he/she must inform Sodini without delay of any changes to the information and personal data provided at the time of registration or, if possible, directly update them so that the information and data are constantly up-to-date, accurate, complete and truthful. In the event that false information is provided, or Sodini has a well-founded suspicion that false, inaccurate or incomplete personal data is provided, Sodini has the right to prevent access to the Registered Customer's Site.

Article 20 – Use of the site and content

20.01. The Site, the Products, the Services and the functions made available or purchased through the Site are provided exclusively for the personal use of the Customer. Without the prior written consent of Sodini, the Customer may not resell or attempt to resell to third parties Products, Services, Content or functions made available or purchased through the Site, nor use the Site to carry out business activities or in any case for professional or commercial purposes, including advertising, promotion, placement or any other form of marketing of Products, Services or Content made available through the Site.

20.02. The Customer may not copy, modify, transmit, distribute, download, print or publish any part of the Site or the Content for commercial purposes; The Site may be used exclusively for the Customer's personal purposes and in accordance with this Agreement.

20.03. The Customer may not modify or change the editing, graphics, layout or “look and feel” of any web page of the Site, which are defined by Sodini or on behalf of Sodini, at its sole discretion. Sodini has the right to insert, at its discretion, within each web page of the Site a trademark, trade name, logo, ideogram or other distinctive sign, its own or of third parties, as well as to insert advertising banners, hyperlinks or other forms of advertising.

20.04. The Client must not exploit or use the Site and the Content in such a way as to cause detriment to Sodini or third parties. In particular, the Client is prohibited from using the Site and the Content to carry out competing activities, or in any case in such a way as to cause damage or prejudice to the interests, including economic ones, or to the image of Sodini, other Clients or third parties.

20.05. Sodini assumes no responsibility for any personal data or information or other content sent, distributed, uploaded or downloaded by the Customer or any third party via the Site.

20.06. The Customer shall indemnify Sodini against any claim or legal action initiated or threatened against Sodini by third parties as a result of the Site or its functions being used by the Customer in violation of the provisions of the law and the Contract.

Article 21 – Intellectual property

21.01. The intellectual property rights relating to the Site, the Sodini Brand or the Content are and remain the exclusive property of Sodini or its licensors.

21.02. The Customer is prohibited from copying, modifying, creating derivative works or works from or based on the Site, the Content, the Trademark or the software.

21.03. The Customer is also prohibited from downloading, copying, reproducing, duplicating or in any way using or distributing the Sodini Bijoux Srl logo or any other trademark, trade name, logo, ideogram, or other distinctive sign relating to Sodini or its products.

Article 22 – Protection of personal data

22.01. The data controller pursuant to art. 13 of EU regulation 2016/679 and art. 4, letter f, and 28 of Legislative Decree no. 196/03 is Sodini; the contact person for the data protection officer is Federico Sodini.

22.02. In its capacity as Data Controller, Sodini undertakes to process data lawfully and correctly and in compliance with the principles of transparency and control provided for by the legislation for the protection of personal data. Sodini processes the personal data of Customers for the following purposes: a) for registration on the Site, or to proceed with the purchase of goods or services from Sodini through the Site and, therefore, to carry out any activity connected, in particular, to the selection of products or services, the sending of orders and/or their acceptance, shipping, delivery and/or any exercise of the right of withdrawal and the consequent collection of goods or any other fulfillment provided for in the General Conditions; b) for the performance of any administrative and accounting activity connected with registration on the Site, the making of a purchase through the Site, as well as to fulfill legal obligations; c) for sending communications aimed at the promotion and/or direct sale of products or services similar to those already purchased/used by the Customer (so-called “soft spamming”), without prejudice to the Customer's right to object at any time; d) for sending commercial communications on products and/or services of the Site, special offers, promotions and news, coupons, for carrying out market research, by means of automated systems, email, text message, fax, or similar and/or by postal service (so-called “marketing purposes”); e) for statistical and historical purposes (only with anonymous data).

22.03. Sodini undertakes to safeguard and control the data, guaranteeing its integrity, and to adopt the necessary precautions to avoid the destruction and loss of the same, also in consideration of the type of data processed and the methods of processing. In particular, the processing of Customers' data does not have profiling purposes, nor does it involve their transfer and/or communication to third parties, without prejudice to the provisions of art. 22.04.

22.04. The data provided by Customers for the aforementioned purposes may be disclosed or communicated to the following recipients: social security, welfare and employment protection institutions; employees or collaborators of any kind of Sodini, for the performance of administrative, accounting, tax and IT support activities; natural and/or legal persons (legal, administrative, tax and labour consultancy firms) for the needs connected to the purposes referred to in art. 22.02.; to all those subjects (including Public Authorities) who have access to the data by virtue of regulatory or administrative provisions.

22.05. Personal data are processed with manual and electronic tools and are stored in the designated electronic database. The personal data contained in the aforementioned automated information system, as well as those stored in the electronic archives of the Data Controller, are processed in accordance with the provisions of the current legislation and the GDPR regarding security measures, in order to minimize the risks of destruction, loss, modification, unauthorized disclosure or access, in an accidental or illegal manner, or of processing that does not comply with the purposes of collection. Furthermore, personal data are stored for the time necessary to achieve the purposes indicated above, as well as to fulfill the legal obligations imposed for the same purposes.

22.06. Sodini processes personal data freely entered by the Customer of the Site (such as, in particular, personal data, tax codes, contact details, telephone and/or fax numbers, e-mail addresses, etc.), as well as autonomously generated technical data (in particular, IP addresses, log files relating to navigation on the Site, purchases made, etc.). Sodini will retain, within the terms of the law, the log files and IP addresses used when making an online purchase, in order to prevent and ascertain any fraud in online transactions.

22.07. The provision of data for the purposes referred to in points a) and b) of art. 22.02. above is necessary and, therefore, failure to provide the personal data in question will make it impossible for the Customer to complete the procedures for the purchase, sale, delivery and/or return of goods, as well as the performance of administrative and accounting activities by Sodini. Consent to the processing of personal data for the aforementioned purposes is not required, in particular, pursuant to art. 6, par. 1, letter b), of the GDPR and the applicable legislation. With reference to the purpose referred to in point c) of art. 22.02. above, consent to processing is not necessary pursuant to the applicable legislation, without prejudice to the right of the Customer to object at any time to the sending of communications. With reference to the purpose referred to in point d) of art. 22.02. above, consent to the processing of personal data is purely optional, it being understood that failure to provide it will make it impossible for the Customer to receive communications and/or commercial information relating to Sodini products and/or Services and to benefit from any promotions offered by this.

22.08. Pursuant to articles 15 et seq. of the GDPR and current legislation, the Customer has the right to lodge a complaint with the Italian Data Protection Authority, to revoke any consent given at any time and to:

a) obtain confirmation of the existence or otherwise of personal data concerning you and their communication in an intelligible form, receiving them in a structured, commonly used and readable format with the possibility of transmitting them to another owner ("Right to portability");

b) obtain information: (i) on the origin of the personal data, on the purposes and methods of processing, on the logic applied in the event of processing carried out with the aid of electronic instruments; (ii) on the identification details of the Data Controller, the Data Processor(s) and the Data Protection Officer; (iii) on the subjects or categories of subjects to whom the data may be communicated or who may become aware of the same in their capacity as designated representative on the territory of the State, as managers or designated persons;

c) obtain (i) the updating, rectification or integration of the data concerning you or, in the event of a dispute regarding the correctness of the data, the limitation of the processing of the same for the time necessary for the appropriate checks, (ii) the transformation into anonymous form or the blocking of data processed in violation of the law, including those whose conservation is necessary in relation to the purposes for which the data were collected or subsequently processed, (iii) certification of the fact that the operations referred to in the preceding points have been brought to the attention, also with regard to their content, of those to whom the data have been communicated or disseminated, except in the case in which such fulfillment is impossible or involves the use of means manifestly disproportionate to the right protected;

d) to object, in whole or in part, to (i) the processing of data concerning him/her, even if pertinent to the purpose of the collection, (ii) the processing of personal data concerning him/her, provided for the purposes of commercial information or sending advertising material or direct sales or for carrying out market research or commercial communication;

e) obtain erasure without undue delay (“Right to be forgotten”) in the event that the data are no longer necessary in relation to the purposes for which they were collected or otherwise processed, have been processed unlawfully or in the event that the User (i) requests it or (ii) opposes in whole or in part to the processing;

f) obtain the limitation of the processing in the event that the data (i) are processed unlawfully but the User opposes the cancellation of the same, (ii) are necessary for the User to ascertain, exercise or defend a right, (iii) an evaluation is pending regarding the legitimate reasons for processing by Sodini.

Article 23 – Amendments and partial invalidity

23.01. Sodini reserves the right to make, at any time, at its sole discretion, all changes, additions and/or updates that it deems necessary and/or appropriate to the Site, the Content, the programs and/or other materials contained therein and/or available through the Site itself (including these General Conditions).

23.02. Any modification and/or update will not have effect on Contracts already signed before their introduction.

23.03. In the event that any provision of this Agreement is declared null, invalid or unenforceable, in whole or in part, by any competent court, supervisory authority or administrative authority, the remaining provisions of this Agreement shall not be affected thereby.

Article 24 – Communications

24.01. Communications concerning the General Conditions and the Contract must be sent by post, or by email shop@sodinibijoux.it to the following addresses: E-commerce Manager c/o Sodini Bijoux Srl Via dei Bocchi, 108 55013 Lammari (Lu). For any telephone assistance, the number 0583/92.78.39 must be contacted from Monday to Friday (excluding holidays) from 8.30 to 12.30 and from 14.00 to 18.00. The cost of the call is provided by the customer service of the operator used.

24.02. In the event of problems connecting to the Site during the order procedure, any Products already selected by the Customer remain stored in the specific “cart” section and the Customer, once the connection has been re-established, can re-enter the Site and complete the order procedure.

Article 25 – Jurisdiction and competent court

25.01. The Contract is governed by Italian law. 25.02. For any dispute concerning the validity, effectiveness, interpretation or execution of the Contract and, in general, relating to the navigation of the Site by the Customer or to the use of any functionality made available to the Customer through the Site, the Court of Lucca shall have exclusive jurisdiction, except for the mandatory Court of the place of residence or elective domicile of the Customer acting as a Consumer Customer, pursuant to the Consumer Code.
